Remaining Rights. Means any and all rights, titles and interests of Executive in and to any of the following intellectual and personal property as of the Effective Date, other than the rights, titles and interests of Executive listed on Exhibit A, attached hereto: any and all inventions, discoveries, improvements, business plans, strategies, computer software, documentation, and other copyrightable works or any other intellectual property (including, but not limited to, materials or services subject to... trademark or service mark registration), made, conceived, created, developed or contributed to by Executive which are (a) directly related to the Business, operations or activities of the Company or any of its affiliates as of the Effective Date, (b) directly related to Executive's employment by, or performance of other services (including as a director, officer, advisor, agent, representative, consultant or other independent contractor) for, the Company or any of its affiliates, prior to the Effective Date, or (c) based upon Confidential Information existing as of the Effective Date.
