Representations and Warranties of Guarantor. Guarantor hereby represents and warrants to FLIC that it has all necessary corporate power and authority to enter into this Guaranty, this Guaranty has been duly executed and delivered by Guarantor and constitutes a valid and binding obligation of Guarantor, enforceable against Guarantor in accordance with its terms.
