Resale Eligibility Conditions. Means the following conditions: such Buyer has (i) resold Registrable Securities in a manner described under the caption "Plan of Distribution" in the Registration Statement or pursuant to Rule 144 or other available exemption from registration under the 1933 Act, (ii) delivered to the Company, the Transfer Agent (as defined in the Securities Purchase Agreement) and counsel to the Company a customary seller's representation letter and, if requested by the Transfer Agent, a customary broker's... representation letter confirming the resale of such Registrable Securities pursuant to such "Plan of Distribution" or Rule 144, and/or (iii) if such resale was not made in reliance on Rule 144 or any such Registration Statement, if requested by the Company, a legal opinion of Buyer's counsel that the resale of such Registrable Securities did not require registration under the 1933 Act, in a form and substance reasonably satisfactory to the Company and its counsel.
