Resale Eligibility Date. Earlier of (i) the date a registration statement filed by the Company under the 1933 Act, covering the resale of the Series E Warrant Shares by the Holder, is declared effective by the SEC (and each prospectus contained therein is available for use on such date), and (ii) the initial date any of the Series E Warrant Shares are eligible to be resold pursuant to Rule 144
