Reserved Shares

Reserved Shares. Shall mean, at each time of reference, the total number of Shares described in Section 3 with respect to which the Committee may grant an Award, all of which Reserved Shares shall be held in the Company's treasury or shall be made available from the Company's authorized and unissued Shares.

Reserved Shares. Shall mean the 19,230,768 shares of Common Stock issuable upon conversion of the Series A Preferred Stock pursuant to the Certificate of Designations, subject to adjustment.

Reserved Shares. Shall mean all shares of Common Stock of the Corporation issuable or issued upon conversion of any of the shares of Preferred Stock, and any shares of capital stock of the Corporation received in respect thereof, whether by reason of a stock split, stock dividend, share reclassification or other similar event.

Reserved Shares. Shall mean the aggregate of the shares of Common Stock issuable (a) upon exercise of the Warrant and the First Option, and (b) upon conversion of the Second Option Shares.

Reserved Shares. That number of shares of Common Stock calculated as follows: (i) the amount of Estimated Damages as set forth in a Claim Notice multiplied by 1.5, and then divided by (ii) the Fair Market Value as of the day of the Claim Deadline. When determining the number of Reserved Shares, fractional shares shall be rounded to the nearest number of full shares.

Reserved Shares. The shares of Common Stock reserved by the Corporation for issuance upon conversion of the Preferred Stock
