Example Definitions of "Reset Period Start Date"
Reset Period Start Date. Means the later of (i) the earlier of (A) the first (1st) Trading Day after the initial Registration Statement is declared effective under the Registration Rights Agreement, or (B) the first (1st) Trading Day after the date on which the Holder can sell all Registrable Securities pursuant to Rule 144 without restriction or limitation, or (ii) the first (1st) Trading Day after the Stockholder Approval (as defined in the Purchase Agreement) is obtained. If neither of the events in clauses (i) or...
