Example Definitions of "Reset Share Amount"
Reset Share Amount. Means the number of shares of Common Stock equal to the number (if positive) obtained by subtracting (I) the sum of (x) the number of shares of Common Stock purchased by the Holder on the Closing Date (as adjusted for forward and reverse stock splits, recapitalizations, stock dividends and the like after the execution of the Securities Purchase Agreement) and (y) the number of shares of Common Stock issuable upon exercise in full of any Pre-funded Warrants (without regard to any limitation on... exercise contained therein) purchased by the Holder on the Closing Date (as adjusted for forward and reverse stock splits, recapitalizations, stock dividends and the like after the execution of the Securities Purchase Agreement), from (II) the quotient determined by dividing (x) the sum of (i) the aggregate Purchase Price paid by the Holder on the Closing Date and (ii) the aggregate of all exercise prices paid or payable by the Holder upon exercise in full of the Pre-Funded Warrants, by (y) the applicable Reset Price determined as of the Reset Date. 3 View More Arrow
Reset Share Amount. Shall have such meaning as set forth in the Series B Warrants.
