Example Definitions of "Residual Information"
Residual Information. Information that is retained in the unaided memories of the receiving party's employees who lawfully have had access to the disclosing party's Confidential Information pursuant to the terms of this Agreement and that employee's specific responsibilities. An employee's memory is unaided if the employee has not intentionally memorized the information for the purpose of retaining and subsequently using or disclosing it, and has not recorded the information.
Residual Information. The ideas, know-how and techniques retained in the unaided memories of Takeda's personnel who have had access to the Takeda Intellectual Property or Orexigen Intellectual Property in the course of the Collaboration or negotiation or performance of this Agreement, the Transition Services Agreement, the Collaboration Agreement or any other Existing Agreement
