Resign for Good Reason or Resignation for Good Reason. That all of the following occur: a) the Executive notifies the Company in writing, in accordance with the notice provisions of this Agreement, of the occurrence of either or both events constituting Good Reason hereunder within 90 days of the initial existence of the events constituting Good Reason; b) the Company fails to revoke, rescind, cancel, or cure the event (or if more than one, all such events) that was the subject of the notification under subparagraph (a) within thirty (30) days... after such notice; and c) within ten (10) business days after the end of the thirty-day period described in subparagraph (b), the Executive delivers to the Company a notice of resignation in accordance with this Agreement.
