Restricted Debt. Means (a) indebtedness for borrowed money of any type, or any other indebtedness evidenced by notes, debentures, bonds or other similar instruments; (b) any obligations for the deferred purchase price of property or services; (c) any obligations under any interest rate or currency swap transaction, cap, collar or other hedging arrangements (whether interest rate or otherwise) (valued at the termination cost thereof); (d) any obligations for the reimbursement of any obligor on any letter of... credit; (e) any obligations to pay rent or other amounts under any lease of (or other arrangement conveying the right to use) real or personal property which obligation has been, or is required to be, classified and accounted for as a capital lease on a balance sheet prepared in accordance with GAAP (as defined below); (f) any obligations created or arising under any conditional sale or other title retention agreement with respect to acquired property; (g) any obligations with respect to any factoring programs; and (h) any guarantee, direct or indirect, of any indebtedness or other obligations of any third party of the type specified in any of the foregoing clauses; provided, that trade accounts payable arising in the ordinary course of business shall not constitute Restricted Debt.
