Restricted Employee

Example Definitions of "Restricted Employee"
Restricted Employee. Means an employee or independent contractor of the Company with whom Employee had supervisory responsibility or work-related contact within the Look Back Period. For purposes of this definition, "independent contractor" shall refer to natural persons and, for the avoidance of doubt, exclude professional service firms.
Restricted Employee. A Participant who is, or is determined by the Committee to be likely to become, a "covered employee" within the meaning of Section 162(m) of the Code (or any successor provision). The Committee may, however, specifically provide at the time of granting an award or grant under this Plan that such a person is not to be considered a Restricted Employee for these purposes.
