Restricted New Issue

Restricted New Issue. Shall mean any issuance of New Securities after the date hereof at a price of less than $16.15 per share of Common Stock, or if the New Securities are those referred to in clause (ii) or (iii) of the definition of "New Securities", at a price that is less than the equivalent of $16.15 per share of Common Stock, as such prices may be adjusted from time to time in the good faith judgment of the Board of Directors of the Company to reflect any stock split, reverse stock split, stock dividend,... merger, recapitalization, or other similar event.
