Restricted Payment

Restricted Payment. Any dividend or other distribution (whether in cash, securities or other property) with respect to any Capital Stock in the Borrower or any Subsidiary, or any payment (whether in cash, securities or other property), including any sinking fund or similar deposit, on account of the purchase, redemption, retirement, acquisition, cancellation or termination of any such Capital Stock or any option, warrant or other right to acquire any such Capital Stock.

Restricted Payment. To the extent made substantially concurrently with the Cerence Spin-Off.

Restricted Payment. Notwithstanding anything herein to the contrary, to the extent that the Borrower transfers any of its Oil and Gas Properties to Roan Resources, Inc. in accordance with this Agreement, the Borrower shall not make any Restricted Payment to pay any costs or expenses related or incidental to the exploration, development, operation or maintenance of such properties.

Restricted Payment. The declaration or payment by Maker of any dividend or other distribution on account of, or the repurchase, redemption or other acquisition for value of, any Equity Interests of Maker, now or hereafter outstanding
