Restricted Subsidiary

Restricted Subsidiary. A Person that is not an Unrestricted Subsidiary, and in any event includes the Pocono Subsidiaries.

Restricted Subsidiary. Collectively, O.U Real Estate Holding I LLC, O.U. Real Estate Holding II LLC and Urban Merchandise, Inc., and such other Subsidiaries as Urban and the Administrative Agent may from time to time agree

Restricted Subsidiary. Shall mean any subsidiary of the Company (a) with assets representing at least 5% of the total assets of the Company and its subsidiaries on a consolidated basis at any date of determination or (b) with revenues equal to or greater than 5% of the total revenues of the Company and its subsidiaries on a consolidated basis during any fiscal quarter.

Restricted Subsidiary. Means any Subsidiary of Acuity Parent (1) substantially all the property of which is located, or substantially all the business of which is carried on, within the United States of America (not including its territories and possessions) and (2) that owns a Principal Property; provided that the term "Restricted Subsidiary" will not include any Subsidiary that is principally engaged in financing the operations of Acuity Parent, or its Subsidiaries, or both, outside of the United States of America.
