Restriction Release Date. Means such date, after the Effective Time, that is the earlier of (i) the date that Section 382 of the Code or any successor statute is repealed if the Board of Directors determines in good faith that this Article IV is no longer necessary or advisable for preservation of the Tax Benefits, (ii) the date that the Board of Directors determines in good faith that it is in the best interests of the Corporation and its stockholders for the transfer restrictions set forth in this Article IV to... terminate, or (iii) January 1, 2026. Restriction Release Date. The first date after the date hereof on which the Company has a class of equity securities registered under Section 12(b) or Section 12(g) of the Exchange Act or is otherwise required to file reports under Section 13 or Section 15(d) of the Exchange Act in connection with the Company's equity securities; provided, however, that for the avoidance of doubt, the foregoing shall not include contractual obligations, or a voluntary election, to be a voluntary filer under the Exchange Act
