Example Definitions of "Restructuring Actions"
Restructuring Actions. Shall mean all of the following events: (i) the sale of some or all of the company's interest in Golden Telecom, Inc. (GTI) and/or some or all of the Company's interest in the company's Central European subsidiaries (GTS Hungaro, Inc., GTS Hungary Holding, Inc., GTS Poland, Inc., GTS Czech, Inc., GTS Romania, Inc. and GTS Slovakia s.r.o. ), or their assets, for at least $150 million 4 in total; (ii) the refinancing of Ebone with at least $550 million from one... or a combination of (1) bank financing, (2) other external debt or equity financing, or (3) the proceeds of asset sales, including the sale of GTI or the Central Europe Subsidiaries to the extent those proceeds exceed $150 million; and (iii) the sale (to some or all of the holders of the publicly-traded bonds issued by Global TeleSystems (Europe) Ltd., or, with such bondholder's' consent, to members of the Company's management or to a third party) or wind-down of substantially all of the companies and businesses currently constituting the Company's "Business Services" Division.
