Retail Securities. Means all securities offered in a Registered Offering that are allocated by Wit Group for retail distribution.

Retail Securities. Means all securities offered in a Registered Offering that are allocated by Wit Grop for retail distribution, which shall not in any event be less than 70% of the amount of "non-designated" shares available to Wit Group in such Registered Offering; provided, however, that any "non-designated" shares allocated by Wit Group that are Excluded Securities shall not be deemed available to Wit Group for purposes of determining compliance with Section 4(a) of this Agreement.
