Retained Earnings. Means retained earnings of Company calculated in accordance with generally accepted accounting principles adjusted for extraordinary expenses, including without limitation the expenses of that certain Subordinated Note dated January 22, 2002 in the face amount of Twenty Million Dollars ($20,000,000.00), and the expense of any Company debt financing.
