Retainer Fee

Retainer Fee. That portion of a Director's Compensation that is fixed and paid without regard to his attendance at meetings and which is payable in cash.

Retainer Fee. That portion of a Director's Compensation that is a fixed cash amount determined without regard to his or her attendance at meetings.

Retainer Fee. Those fees paid by the Company to nonemployee directors for services rendered on the Board or any committee of the Board, including attendance fees and fees for serving as committee chair.

Retainer Fee. The amount of compensation paid by PG&E CORP to a Director for retaining his or her services during a calendar quarter. A Retainer Fee shall not include (i) any Meeting Fee, or (ii) any reimbursement by PG&E CORP of expenses incurred by a Director incidental to attendance at a meeting of the Board of Directors or of a committee thereof or of any other expense incurred on behalf of PG&E CORP

Retainer Fee. Means that portion of a Director's Compensation that is payable in cash and that is fixed and paid without regard to his service on committees.
