Retirement-Eligible Grantee

Example Definitions of "Retirement-Eligible Grantee"
Retirement-Eligible Grantee. With respect to a Performance Unit that is outstanding at least six months after the Date of Grant a Grantee who is age 62 with at least five years of vesting service.
Retirement-Eligible Grantee. A Grantee who, as determined on the Date of Grant, either (i) is or will become age 62 with at least five years of vesting service at a time when the attainment of such age and service requirements will result in the Restricted Stock Units being treated as "deferred compensation" subject to Section 409A of the Code or (ii) is a participant in the Company's Senior Executive Severance Plan.
