Rights Offering Notes

Rights Offering Notes. Shall mean the Company's or Parent's subordinated notes issued in connection with the Rights Offering, which subordinated notes shall contain terms and provisions (including subordination provisions) substantially similar to the Subordinated Notes and providing subordination terms and provisions no less favorable to the Senior Lenders than this Agreement provides with respect to the Subordinated Notes, except that all interest payable thereunder may be payable in cash or cash equivalents.
