ROFR Patents

ROFR Patents. Means all of the Patents that (a) have a filing date on or after the Effective Date, (b) are Controlled by Licensor or any of its Affiliates, (c) are necessary (or, with respect to patent applications, would be necessary if such patent applications were to issue as patents) for the Exploitation of a ROFR Product, and (d) are not a Licensed Patent.
