Rollover Shares

Example Definitions of "Rollover Shares"
Rollover Shares. Means, such number of Covered Shares owned by the Stockholder (or any controlled Affiliate thereof) immediately prior to the Rollover Closing. 2
Rollover Shares. Means those shares of common stock of the Company held by the Management Investors or the Fenway Investors that upon the Closing are not purchased by the Buyer but continue to be held by the Management Investors or the Fenway Investors.
Rollover Shares. Means (a) the shares of Class A Common Stock issued to the Rollover Investors pursuant to the Contribution Agreement and (b) any shares of Class B-1 Common Stock issued upon conversion of such shares of Class A Common Stock.
Rollover Shares. Any shares of Common Stock that were acquired by a Management Shareholder pursuant to a Conversion Agreement and/or the exercise of Exchange Options.
Rollover Shares. Shall mean Shares acquired through the rollover of shares in Biomet, Inc. and/or the investment of cash pursuant to the Rollover Agreement attached hereto as Exhibit B or through a similar one-time opportunity to purchase Shares.
Rollover Shares. The Walter Rollover Shares and those Management Shares issued to other Managers in connection with the Closing of the Merger in exchange for shares of common stock of inVentiv issued to such Manager prior to the Merger.
Rollover Shares. (i) with respect to each Rollover Shareholder, a number of Shares equal to (A) such Rollover Shareholder's Rollover amount divided by (B) the Per Share Purchase Price and (ii) with respect to all Rollover Shareholders, a number of Shares equal to (A) the Aggregate Rollover Amount divided by (B) the Per Share Purchase Price
