Sale Proceeds. The cash proceeds of the 363 Sale; provided, however, that if ABC is the successful bidder for the Assets, it will not have to provide or distribute any Sale Proceeds that it would otherwise receive pursuant to Section 5 hereof (subject to the terms of Sections 7 and 10(c) hereof).
