Second Financing

Second Financing. Means the actual receipt (and not merely a commitment, covenant, or other contractual obligation to invest) by the Company of an investment in the amount of at least Ten Million Dollars (USD$10,000,000) in exchange for no more than Five Million (5,000,000) shares of the Company's Common Stock sold at the Second Closing Share Price.
