Section 1404 Exchange Rate. Each $1,000 Principal Amount of the Notes shall be exchangeable into the number of shares of Common Stock specified in the form of Note (herein called the "Exchange Rate") attached as Exhibit A hereto (as of July 27, 2006, 60.6061 shares), subject to adjustment as provided in this Article 14.
