Section 409A Specified Employee. A 'specified employee,' within the meaning of Code Section 409A(a)(2)(B)(i) and Treasury Regulation Section 1.409A-1(i), as determined by the Committee or its designee. For purposes of a distribution to which the requirements of Section 7(f)(iii)(B) apply, the status of a Participant as a Section 409A Specified Employee will be determined annually under the Company's administrative procedure for such determination for purposes of all plans subject to Code Section 409A.
