Securities Laws. The 1933 Act and the 1934 Act

Securities Laws. As applicable, the securities laws, regulations, rules, rulings and orders in each of the Selling Jurisdictions, and the notices, policies and written interpretations issued by the Securities Regulators in each of the Selling Jurisdictions, and the rules of the Toronto Stock Exchange and Nasdaq/ Global Market

Securities Laws. The Canadian Securities Laws and the U.S. Securities Laws

Securities Laws. Means the Securities Act of 1933, as amended, and the Securities Exchange Act of 1934, as amended, and the rules promulgated thereunder.

Securities Laws. The securities laws of the United States and the regulations and rules made and forms prescribed thereunder together with all national and applicable multilateral instruments, blanket orders and rulings of the SEC and together with all published policies, rules and regulations of the Stock Exchange.

Securities Laws. The applicable securities laws of the Offering Jurisdictions and the respective regulations and rules made and forms prescribed thereunder together with all applicable published policy statements, blanket orders, rulings and notices of the Securities Commissions

Securities Laws. Means the Securities Act; the Exchange Act; the Investment Company Act of 1940, as amended; the Investment Advisers Act of 1940, as amended; the Trust Indenture Act of 1939, as amended; the rules and regulations of the Securities and Exchange Commission promulgated thereunder; and the blue sky and other Legal Requirements of any state that are applicable to the purchase and sale of securities generally.

Securities Laws. Collectively, the Sarbanes-Oxley Act of 2002 (Sarbanes-Oxley), the Act, the Exchange Act, the Rules and Regulations, the auditing principles, rules, standards and practices applicable to auditors of issuers (as defined in Sarbanes-Oxley) promulgated or approved by the Public Company Accounting Oversight Board and the rules of the New York Stock Exchange (Exchange Rules)

Securities Laws. Means the securities acts, securities exchange acts or similar legislation of the jurisdictions in the United States where the Purchaser is a "reporting issuer" or where its securities are listed for trading, and all regulations, rules and orders thereunder, including without limitation the United States Securities Act of 1933, as amended (the "1933 Act"), 1934 Act, and Marketplace Rules of NASDAQ.
