Securities

Securities. Means the Unregistered Shares.

Securities. (i) the shares of Common Stock underlying the Series A Shares, (ii) the shares of Common Stock issued or issuable to the Holders upon exercise of the Warrants and any shares of Common Stock issued or issuable at any time on or after the Effective Date and prior to the second (2nd) anniversary of the SEC Effective Date with respect to such shares of Common Stock upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing

Securities. The Base Securities and the Over-Allotment Securities

Securities. Means, collectively, the Notes and any Conversion Shares that may be issued in respect thereof.

Each Security is entitled to the benefit of the related Guarantees and, unless the context otherwise requires, any reference herein to the "Securities," the "Exchange Securities" or a "Registrable Securities" shall include the related Guarantees.
