SELLER CLAIM AMOUNT

SELLER CLAIM AMOUNT. Shall mean the total amount of (i) all Indemnifiable Losses paid or incurred by any Seller Indemnified Party under Section 9.2(b) and 9.2(e) of the Purchase Agreement which arise from Third Party Claims, and (ii) all other Indemnifiable Losses asserted by a Seller Indemnified Party which shall have been finally determined to constitute Indemnifiable Losses pursuant to the last sentence of Section 9(e) of the Purchase Agreement.
