Seller's Knowledge

Seller's Knowledge. Means the actual knowledge of James Ruddy and Chris Mead and Sellers shall be deemed to have knowledge of those items set forth in the Management Certificate.

Seller's Knowledge. Shall mean the actual knowledge without investigation of Messrs. Michael W. Reschke, Mark K. Cynkar, Bohdan Hirniak and Philip Waters, but excluding Mr. Gary J. Skoien.

Seller's Knowledge. Means that either of Peter W. Stott or Steven E. Dietrich is actually aware of a particular fact or other matter.

Seller's Knowledge. Means that any of Steven E. Dietrich, P.A. (Tony) Leineweber, or John S. Ernst is actually aware of a particular fact or other matter.

Seller's Knowledge. Means and is strictly limited to the actual, personal knowledge of Tony Nichols, Jr., formed without investigation, other than a review of the Seller's files relating to the Property and the Option Property.

Seller's Knowledge. Shall have the meaning ascribed thereto in Paragraph 7.

Seller's Knowledge. And variants thereof mean the actual knowledge of Seller and such other knowledge as Seller should have known in the exercise of reasonable and customary due diligence.

Seller's Knowledge. Means the effective knowledge, without any independent investigation, (i) of the Sellers, in the capacity of shareholders of joint-stock companies (sociedades anônimas), (1) as controlling shareholders, in the case of the Company, Fertifos, Fosfertil, Ultrafertil and UF Distribuidora, or (2) not controlling shareholders, in the case of IFC and Fosbrasil, and (ii) the officers and directors elected by the Sellers, in any case ((i) and (ii)), in accordance with applicable regulations required to... be complied with in any specific situation, including, without limitation, the Brazilian Corporate Law, in accordance with the CVM rules. Seller's Knowledge. The knowledge that any one of Martin Hahn, John Kirsten, or Richard Couch obtains using the care of a prudent business person after making due inquiries of all of Martin Hahn's direct reports. The inclusion of these named persons notwithstanding, Buyer agrees that none of these individuals shall be held individually liable for any breach of any of Seller's obligations under this Agreement.

Seller's Knowledge. Shall mean the actual current knowledge, without investigation or inquiry (other than from sources reasonably likely to have relevant information within Seller), of personnel of Seller responsible for the management of the Property and the handling of potential or actual environmental liabilities of Seller.
