Seller's Representative. Global Capital Advisors Ltd. or such Person designated by Global Capital Advisors Ltd. as of the time of disposition of the last of the Debentures held by the Fund (or subsequent Sellers' Representative).

Seller's Representative. Will be Frank L. Davis unless he is replaced by action of a majority in interest of the Sellers (determined based on percentage allocation of the Purchase Price in accordance with Exhibit "A" attached hereto).
