Each of the provinces of Canada, the United States and any state of the United States of America and such other jurisdictions where the Agents choose to sell Subscription Receipts in accordance with this Agreement provided that the Company is not required to file a prospectus or other disclosure document or become subject to reporting obligations in such other jurisdictions
