Senior Restricted Stock

Senior Restricted Stock. Shall mean the Senior Conversion Shares, excluding Senior Conversion Shares which have been (a) registered under the Securities Act pursuant to an effective registration statement filed thereunder and disposed of in accordance with the registration statement covering them or (b) publicly sold pursuant to Rule 144 under the Securities Act.
