Separation Event

Example Definitions of "Separation Event"
Separation Event. Shall mean the termination by the Company of Employee's employment without Cause or termination by Employee for Good Reason, in either case within two and one-half years after the earliest date of a Change in Control of the Company (the "Termination Period"). The death or disability of Employee shall not be a Separation Event.
Separation Event. A Separation Event shall be deemed to have occurred if Employer or any successor thereto causes Executive's involuntary Separation from Service (within the meaning of Treas. Reg. 1.409A-1(n)) at any time within 24 months after a Change of Control for any reason other than (A) Cause (as defined below), or (B) incapacity due to physical or mental illness.
