Series A Director

Series A Director. Means any director of the Company that the holders of record of the Series A Preferred Stock and Series A-1 Preferred Stock are entitled to elect pursuant to the Company's Certificate of Incorporation.

Series A Director. Shall have the meaning set forth in the Certificate of Incorporation. 4 1.42

Series A Director. The member of the Board of Directors designated by the holders of shares of Series A Stock pursuant to the Series A Certificate.

Series A Director. The director on the Board whom the holders of Series A Preferred have a right to elect under the Company's Articles of Incorporation

Series A Director. The meaning ascribed to such term in the Articles

Series A Director. And "Series A Directors" shall have the meaning set forth in that certain Voting Agreement dated the date hereof between the Company, the Investors and certain other parties named therein, as it shall be amended or restated from time to time.

Series A Director. Means any director of the Company that the holders of Series A Preferred Shares are entitled to elect pursuant to the Shareholders' Agreement.

Series A Director. Means any director of the Company that has been solely designated by the holders of record of the Series A Preferred Stock pursuant to the Restated Certificate or the Third Amended and Restated Voting Agreement, dated as of the date hereof, between the Company, the Investors and certain other stockholders of the Company or otherwise.

Series A Director. Means any director designated pursuant to Subsection 1.2(a) or Subsection 1.2(b) of the Amended and Restated Voting Agreement, dated as of even date herewith, by and between the Company and the Stockholders named therein (the "Voting Agreement").

Series A Director. Means any director of the Company that the holders of record of the Series A Preferred Stock are entitled to elect, exclusively and as a separate class, pursuant to the Certificate of Incorporation.
