Series A3 Exchange Notes

Series A3 Exchange Notes. Shall mean notes of the Company identical in all material respects to the Series A-3 Securities (except that the Additional Interest provisions, the transfer restrictions, the restrictive legends and the escrow provisions shall be modified or eliminated, as appropriate) and to be issued under the Series A-3 Indenture.
