Series C Director

Series C Director. Means any director of the Company that the holders of record of the Series C Preferred Stock are entitled to elect pursuant to the Company's Certificate of Incorporation.

Series C Director. A director of the Company elected by the holders of a majority of the outstanding shares of Series C Convertible Preferred Stock in accordance with the terms of the Charter and subject to the Voting Agreement.

Series C Director. Has the meaning ascribed thereto in the Articles of Amendment.

Series C Director. Shall have the meaning assigned to such term in the Company's Amended and Restated Certificate of Incorporation, as amended from time to time. 9

Series C Director. Means any director of the Company that the holders of record of the Series C Preferred Stock, voting as a separate class, are entitled to elect pursuant to the Restated Certificate.

Series C Director. Means any director of the Company that has been solely designated by the holders of record of the Series C Preferred Stock pursuant to the Restated Certificate or the Third Amended and Restated Voting Agreement, dated as of the date hereof, between the Company, the Investors and certain other stockholders of the Company or otherwise.

Series C Director. Means a director of the Company that the holders of record of the Series C Preferred Stock, exclusively and voting together as a separate class, are entitled to elect pursuant to the Company's Third Amended and Restated Certificate of Incorporation.

Series C Director. Means any director of the Company that the holders of record of the Series C-1 Preferred Stock and Series C-2 Preferred Stock, exclusively as a separate class, are entitled to elect pursuant to the Company's Restated Certificate.

Series C Director. Means any director of the Company appointed to the Board of Directors pursuant to Section 1.2(c) or 1.2(d) of the Voting Agreement.

Series C Director. The director elected by the holders of Series C Preferred Stock
