Series C Securities. Means the 129,558,574 shares of Common Stock issuable upon conversions of shares of Series C Preferred Stock owned by Maxim Partners, LLC ("Maxim"), it being understood that the Company shall only attempt to register for resale in the Registration Statement up to 53,000,000 shares of Common Stock (the "Registrable Maxim Securities") issuable upon any subsequent conversion of Series C Securities into Common Stock
