Service Default. (i) a Customer's assertion of any offset or recoupment rights, cancellation or early termination rights, or defense to payment based upon Omnicell's failure to fully perform its obligations under any Service Agreement or (ii) a breach by Omnicell under Section 9.2(c)(i)
