Severance Date

Severance Date. Means the date on which an Executive incurs a Severance, which shall be the date of termination as determined under Section 5.2.

Severance Date. With respect to a particular Participant means, unless otherwise provided in the applicable Award Agreement: (a) if the Participant is an Eligible Person under clause (a) of Section 3 and the Participant's employment by the Corporation or any of its Affiliates terminates (regardless of the reason), the last day that the Participant is actually employed by the Corporation or such Affiliate (unless, immediately following such termination of employment, the Participant is a member of the... Board or, by express written agreement with the Corporation or any of its Affiliates, continues to provide other services to the Corporation or any Affiliate as an Eligible Person under clause (c) of Section 3, in which case the Participant's Severance Date shall not be the date of such termination of employment but shall be determined in accordance with clause (b) or (c) below, as applicable, in connection with the termination of the Participant's other services); (b) if the Participant is not an Eligible Person under clause (a) of Section 3 but is an Eligible Person under clause (b) thereof, and the Participant ceases to be a member of the Board (regardless of the reason), the last day that the Participant is actually a member of the Board (unless, immediately following such termination, the Participant is an employee of the Corporation or any of its Affiliates or, by express written agreement with the Corporation or any of its Affiliates, continues to provide other services to the Corporation or any Affiliate as an Eligible Person under clause (c) of Section 3, in which case the Participant's Severance Date shall not be the date of such termination but shall be determined in accordance with clause (a) above or (c) below, as applicable, in connection with the termination of the Participant's employment or other services); (c) if the Participant is not an Eligible Person under clause (a) or clause (b) of Section 3 but is an Eligible Person under clause (c) thereof, and the Participant ceases to provide services to the Corporation or any of its Affiliates as determined in accordance with Section 7.4.4 (regardless of the reason), the last day that the Participant actually provides services to the Corporation or such Affiliate as an Eligible Person under clause (c) of Section 3 (unless, immediately following such termination, the Participant is an employee of the Corporation or any of its Affiliates or is a member of the Board, in which case the Participant's Severance Date shall not be the date of such termination of services but shall be determined in accordance with clause (a) or (b) above, as applicable, in connection with the termination of the Participant's employment or membership on the Board). Severance Date. Means the date after the Effective Date on which an Employee involuntarily has a Separation from Service without Cause.

Severance Date. Means, subject to the terms of Section 1(x), the effective date on which an Eligible Employee's employment by the Employer terminates due to a Termination as specified in a prior written notice by the Company or the Eligible Employee, as the case may be, delivered to the other pursuant to Section 5(h).

Severance Date. The date a Director's service on the Board of Directors terminates for any reason

Severance Date. Severance Date as defined in Paragraph 23(a).

Severance Date. The effective date on which the Executive's employment by the Corporation terminates.

Severance Date. The date on which the Executive's employment with the Company or its successor ends.
