Severance Factor. (i) in the event the Employee's employment with the Company is terminated by the Company without Cause outside of the CIC Protection Period, 1.5x, or (ii) in the event the Employee's employment with the Company is terminated during the CIC Protection Period either by the Company without Cause or by the Employee for Good Reason, 2.5x.
