Share Amount

Share Amount. Means, as of any given time, the sum of (x) the number of Warrant Shares issuable upon exercise of this Warrant as of such given time (without regard to any limitations on exercise set forth herein) and (y) the number of Warrant Shares upon exercise of this Warrant prior to such given time.

Share Amount. A number of shares of Common Stock equal to the quotient of (x) ten million dollars ($10,000,000), divided by (y) the 60-Day VWAP, with any fractional shares rounded to the nearest whole number.
