Share Authorization Date. Share Authorization Date. Shall mean the effective date of the amendment to the Corporation's Certificate of Incorporation filed with Secretary of State of the State of Delaware increasing the number of authorized shares of the Corporation's Common Stock to such amount as shall permit all of the outstanding shares of Series B-2 Preferred Stock and Warrants to be converted or exercised into Common Stock.
