Share Reserve Increase Stock. Means, as of the applicable time of measurement, the number of shares of common stock of the Company equal to the sum of (i) the total number of shares of Common Stock and Non-Voting Common Stock issued and outstanding, and (ii) shares of Common Stock issuable upon exercise of outstanding pre-funded warrants.
