Shareholder Indebtedness. Means US$6,030,457.60 as at March 31, 2000 owed by the Subsidiary to IFS for borrowed money as evidenced by a Promissory Note dated March 31, 2000 plus US$150,000 to be advanced on April 12, 2000 further to Section 5(d) below.
