Shareholder

Shareholder. Shall have the meaning set forth in the preamble to this Agreement.

Shareholder. Means (a) any Shareholder (as such term is defined in the Bye-Laws) of the Company who is listed on Exhibit A hereto, and (b) any Warrant Holder, if and to the extent that such Warrant Holder's Warrant is exercisable or, upon the closing of a sale of Shares would become exercisable who is listed on Exhibit A hereto.
