Shares Outstanding. Shall mean the sum of all of the Company's shares of common stock issued and outstanding immediately prior to the event constituting a Change of Control, including all such shares held by affiliated and nonaffiliated persons.
Shares Outstanding. As of any date of determination, the number of all issued and outstanding shares of Common Equity on a fully diluted basis.
