Example Definitions of "Shelf Registration"
Shelf Registration. Either the Initial Shelf Registration, the Second Shelf Registration or a Subsequent Shelf Registration, as appropriate.
Shelf Registration. Means a "shelf" registration statement on an appropriate form pursuant to Rule 415 under the Securities Act (or any successor rule that may be adopted by the SEC).
Shelf Registration. Means a registration of any or all of the Registrable Securities pursuant to Rule 415 of the Securities Act.
Shelf Registration. Shall mean a registration effected pursuant to Section 2(b) hereof for an offering to be made on a continuing basis pursuant to Rule 415 under the 1933 Act covering all of the Registrable Securities on Form S-1 or another appropriate form permitting registration of such Registrable Securities for resale by such Holders in the manner designated by such Holders.
Shelf Registration. Shall mean a registration effected pursuant to Section 3 hereof. 3 "Shelf Registration Period" shall have the meaning set forth in Section 3(b)(ii) hereof.
Shelf Registration. Means a registration pursuant to Rule 415 under the Securities Act or any successor rule providing for offering securities on a continuous or delayed basis.
Shelf Registration. Means a registration of Transfer Restricted Notes with the Commission effected pursuant to Section 3 hereof.
