Side-Car Lender Termination Event

Side-Car Lender Termination Event. Means (i) any Definitive Document is filed, executed or otherwise finalized or any provision of this Agreement is waived, changed, modified or amended in a manner that does not comply with the Side-Car Lender Consent Right or (ii) any waiver, change, modification or amendment to the Side-Car Lender Consent Right without the consent of the Requisite Consenting Side-Car Lenders.
